General Description

Battery Ride Inc. (Battery Ride or the Company) was incorporated in the
State of California in August 2007 to provide, assemble and sell the key
components to power plug in electric vehicles (EV's). The Founders of
Battery Ride share a deep seated and long held belief that electric vehicles
can make a substantial, positive impact on improving the environment by
reducing carbon dioxide emissions and foreign oil dependence.

The Company will purchase the components from a variety of vendors and
resell them individually or assembled as a ready to install kit. The
Company's product line will include lithium ion iron phosphate (LFP)
batteries, motors, controllers, chargers, converters and the necessary
interfaces and monitoring software. Battery Ride will use its expertise to
provide plug in vehicle (cars, motorcycles and tractors) with the power to
travel longer distances with greater acceleration and in some cases, with
greater safety than alternative battery powered or hybrid vehicles.

Battery Ride intends to build nationwide alliances to supply kit car and
other manufacturers of electric vehicles and, with the assistance of public
and private institutions, develop a network of trained and certified
mechanics who will build, install and maintain electric vehicles. The
Company's research and development efforts will not only be focused on
providing the industry's cutting edge power sources for electric vehicles,
but to develop solar charging (photo voltaic) strategies resulting in
vehicles using none of the earths resources to recharge its batteries. The
solar charging solutions developed by the Company will be sold as
accessories.

Battery Ride has already commenced a number of initiatives to launch and
build a successful business. To date it has:

 Received and is now testing the first shipment of lithium ion iron
phosphate batteries from the manufacturer in China, Thundersky. Initial
tests have resulted in 4 times the range with the same battery weight of
lead acid batteries or double the range for half the weight!
 Received quotes for the other components and is now evaluating the best
potential suppliers.
 Initiated discussions with several kit car manufacturers who want to
expand into electric vehicles.
 Initiated a search for a proven CEO with successful start up and industry
experience.
 Received $50,000 in pre-payments for its LFP batteries.
 Started building an Advisory Board of industry experts.
 Received approximately 50 unsolicited requests for more information to buy
electric vehicles and components from Battery Ride.
 Commenced building its e-commerce website.
 Identified numerous potential seed investors.
 Commenced preparing a detailed business plan and private placement
memorandum.


The Electric Vehicle Industry

The electric vehicle industry is finally coming of age and the long term
outlook is very promising and exciting. There are numerous factors driving
the growing interest in all electric vehicles some of which are listed
below:

 Record high gas prices
 Concerns about global warming
 Unsustainable levels of carbon dioxide emissions
 Federal and State legislation to reduce automobile emissions
 Federal and State incentives to develop alternative energy sources
 Americans familiarity with hybrid automobiles
 Improved battery technologies with reduced costs
 The need to reduce dependence on foreign sources of oil

While all the above factors are contributing too many people looking for
alternatives to combustion engine vehicles, perhaps the most encouraging is
the success of hybrid automobiles, particularly the Prius manufactured by
Toyota. At the end of 2004, monthly sales of the Prius were 5,000 but are
now approaching 25,000 per month. Furthermore, other major automobile
manufacturers are either now selling hybrid cars or are intending to do so
in the very near future, including Lexus, Honda, Saturn, General Motors and
Ford. As car drivers become more used to and comfortable with battery
powered driving and enjoy the cost savings, the Company believes hybrid
owners will be ready to make and lead the transition to fully electric
automobiles.

Management

Battery Ride is in the process of building its executive management team and
Advisory Board to complement the skill sets of its founders, Steve Heckeroth
and Jeanine Campbell. The Company has already initiated a search for a
seasoned CEO who has had success building start ups and early stage
companies into profitable businesses.

Steve Heckeroth – Interim President

Steve Heckeroth Received a Bachelor of Architecture from Arizona State
University in 1973. He founded Homestead Enterprises, a solar design and
renewable energy products company in 1975. Mr. Heckeroth designed and built
numerous solar homes during 25 years of practice and Received Passive Solar
Design Awards, in 1992, from the Northeast Sustainable Energy Association
and The Energy Efficient Building Association. He founded an electric
vehicle manufacturing company in 1993 and assembled more then two dozen
vehicles over a four year period including four electric Porsche Spyders and
seven electric agricultural tractors. He joined UNI-SOLAR as their Director
of BIPV Products in 2001 and was employed by UNI-SOLAR's parent company ECD
Ovonics in the same position from 2004 - 2007. Steve has been a member of
the Board of Directors for the Solar Living Institute since 2000.  He is a
life member of the American Solar Energy Society (ASES) and current Chair of
the ASES Renewable Fuels and Sustainable Transportation Division. See

Jeanine Campbell – Interim CEO

Jeanine Campbell has been in the real estate and lending business since the
early nineteen eighties. She is the Founder and CEO of TLC Capital
Solutions, which provides consulting services and arranges financing for
green and sustainable real estate development projects. Her expertise
includes deal structuring, risk management and contract negotiations.  Ms.
Campbell rose through the ranks of various mortgage lenders starting as a
loan processor to a corporate underwriter of large institutional lenders.
Jeanine was responsible for underwriting mortgages for Hamilton Savings Bank
and worked with homebuilders such as Shappel, Dame and Pulty Homes.
Recruited to be a corporate underwriter for Common Wealth Loan of America,
Ms. Campbell was responsible for underwriting all the jumbo loans from New
Mexico to Alaska.  In addition, Jeanine has been involved in the acquisition
of commercial, industrial and multifamily projects.  Jeanine is a member of
the US Green Building Council, the Bay Area Green Business Program, the
Urban Land Institute, Architects/Designers/Planners for Social
Responsibility and the Advisory Board for the Presidio School of Management.

Stanford R. Ovshinsky – Founder and Chief Scientist and Technologist; ECD
Ovonics.

Robert C. Stempel – Retiring Chairman of the Board and CEO of ECD Ovonics,
former Chairman of the Board and CEO of General Motors.

Joseph Marino – President of DC Power Systems, a leading designer and
distributor of solar energy solutions for commercial and residential
applications.
